So I'm looking to upgrade my motherboard and CPU.

Current specs:
AMD 5200+
MSI K9N Platinum nForce 4
EVGA 8800GTS 512MB
4GB G.Skill DDR2 800Mhz
700W OCZ PSU

Budget is no more than $350.  Use is gaming, unzipping large files, encoding and burning movies, folding@home, etc.

I am thinking Asus P5Q and E8500 which = $335 including tax and shipping.

drop to a E8400, make sure you have a good cooler.

Well my budget has expanded to $380 so I could afford the E8400 + P5Q + Tuniq cooler which would = $368.

oh... make sure the tuniq tower will fit in your case... its large. Barely fits in my thermaltake Armor cause of the 25cm side fan. and to replace a screw in the fan (case fan that is) with a shorter one to make it fit.

Well my case is only 20 cm wide so that may be a problem.  I'm really clueless when it comes to coolers as I've never bought an aftermarket one before.  So what's a good smaller alternative?

I'm guessing you have never and probably never will overclock? if so, don't bother wasting money on an after market cooler, the stock ones are perfectly fine.

Actually I have overclocked before and plan on doing it with my new E8400.  I've always used stock coolers though.  The Freezer 7 Pro is cheap so that's a definite plus.  Will probably go with that or this Zalman since I do have some extra money to spend.

I wouldn't really recommend the 9500.  I bought one a few years ago and while it's not a bad Heatsink you can get better for the money.  Also you can pick up a TRUE for less than $20 more which is a much better performer (I dropped about 18c on my q6600 going from a 9500 to a true.)

I have that on my e8400, good bit of kit, quiet, smooth & they are bomb proof.
