I have the gold one and want to know if its worth it to trade it for the black one with my friend

Gold has lifetime warranty
Black has lower timings (except the last one)

You might as well pay the extra few dollars for the one with the built-in heatsink. As for the warranty, by the time those break, they'll be outdated anyway. OCZ is very reliable from my experiences.

Exactly. I'm getting 2gb of the gold edition soon

The fact that he wants to switch makes me suspicious. I'd keep the golden.

My OCZ RAM exploded (somehow) within a week of purchase.

So dont be so sure
