Basicly i'm thinking of replace my AMD BE with a C2D.  Now here is what I have to work with right now.

4GBs of Corsair DDR2 800 w/ 8800GT and 600W PSU.

I'll have $475 to play with and I need a mobo and CPU.  ASUS is my prefered brand for mobo w/ nvidia chipset.  I'm also looking at getting a PCI-E 2.0 port as well.  The CPU can be ether dual core or quad core.  FSB should be 1333 or higher please!  I'm know what cooler i'm using though.  Mr Freezer 7 Pro knows!

I may not upgrade at all but I just want to know what my options are going if I want to upgrade very soon.

Should fit into your price range pretty well. YOu can get an e8500 instead of the Q9300 if you want.

Well, this seems like a good mobo, with DDR3 support if you wanna go that way some time. The same one with only DDR2 is the same price, so there's really no loss in it. As for the CPU, Jenspm is wise. A Q6600/Q9300/E8500 is what you need. I'd go for the E8500 if gaming is the main purpose of this machine. Q6600/Q9300 (Whatever your budget allows for) if it's mainly for photoshop and multitasking. Looking at Newegg for those CPUs seem to leave a little head room (About $100), for which you could get something nice or go extreme.
The idea of any hi-fi system is to reproduce the source material as faithfully as possible, and to deliberately add distortion to everything you hear (due to amplifier deficiencies) because it sounds 'nice' is simply not high fidelity. If that is what you want to hear then there is no problem with that, but by adding so much additional material (by way of harmonics and intermodulation) you have a tailored sound system, not a hi-fi. - Rod Elliot, ESP

Well I need to know a few things.  If I want to overclock will DDR2800 memory be ok?  Also, having DDR2 800 memory effect my performance Vs DDR3 memory?

Well DDR3 memory has higher MHz so DDR2 in this case would be slower. You can get DDR2 PC8500 memory which is a better choice, because DDR3 is really overpriced now.

It's not as simple as that, you need to consider things like the timings of the RAM.  Though, that said I agree, DDR3 is still just that bit too expensive to be worthwhile in any machine bar the very high end.

DDR2 @ 1333 > DDR3 @ 1333. Regardless of price, Timings are off the chart with DDR3.
