It will work, but it may decrease its speed to 800MHz if it is incompatible.

it works just fine. the memory you are planning to get works @ 1066mhz but IT WILL work @ 800mhz too (speed supported by the mobo). if you are planning to overclock, the faster memory will help because higher FSB means higher memory speeds.

edit: by default it will work @ 800mhz with that mobo

You need the new P35 boards, they're designed to accept DDR3 which will obviously be able to go over 1066mhz, so therefore can use DDR2 1066Mhz RAM.

Edit: You can still use your board but you'll need to increase the FSB so it will recognise 1066mhz RAM.

there is EVGA nForce 680i SLi mobo that supports ddr2 speeds up to 1200mhz. that is IMO the best mobo you can get for C2D

that asus mobo does oc quite well so it might work @1066 as well. remember that no one can say how much you can oc. it depends of many things. some oc better, some don't.

edit: if you don't need SLi, get a gigabyte p35!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!! teh best for non-SLi rigs

You'll be fine. You might have issues if you add another couple of sticks later. I've just been setting up a PC with 4 x 1GB sticks in, which wouldn't POST with all 4 in at 800MHz, even after raising the voltage and loosening the timings it was extremely unstable at 800MHz (had to drop it to 667 in the end). That was on a 650i board a lot like yours (although yours is the 680i version if I'm not mistaken), P5N-e SLI.

I'm trying not to cut corners so I think I'm going to upgrade the motherboard to maximise the potential of the RAM rather than downgrade the RAM so I'm not wasting performance from the motherboard.

Makes sense if you've got the money I suppose, I'm just trying to save a few quid on the RAM, and the one I showed you befor uses the Micron chips and has CAS4 timings.
