Looks like it to me. But if I were you I wouldn't buy DDR RAM or a mobo that accepts it, once something gets passed up it's usually a good idea to buy the next thing when you have to buy something.......if that makes sense.
let me explain... New MOBO, New Processor, old ram and old graphics...

I have an Asrock DUAL-sata2 w/ ddr, 3700+ San Diego, I had a 6800 but now I have an x1900xtx.
That processor is great for overclocking. And you will have to format and reinstall windows.
Windows didn't recognize the built in lan on my motherboard, so either download all the asrock drivers from their site or install them off of the cd that comes with the motherboard. Install LAN driver first, then AGP chipset driver, then your graphics drivers. Don't install graphics drivers before the agp.
edit: and view http://forums.ocworkbench.com/bbs/f-asr … --31.html/ for more info about the motherboard if you want. I'd follow the install instructions they give as well because the motherboard is picky about driver order(atleast mine was).
