Okay, I found some time to work on this computer again. 
Recap, ran individual each stick in memtest and they passed (individually).  Both together in A1 and B1 (yellow on Asus board) they failed memtest.  In a big way. 
Okay, I moved the sticks from the yellow (A1 and B1) to the black A2 and B2.  Passed memtest and windows now boots.
Now I just need to figure out about the registry error I am getting.  See original post.

Ugh, I purchased the p5n-E mobo along with some other shit a couple weeks ago from newegg. After 2 days of fucking around with the system I came to the conclusion that the motherboard was a POS(one of the pci slots didn't work, and was unstable under all of the bios updates available.

The return policy on that board is exchange only, but when I returned it, they refunded me my money. Whew, dodged that bullet.

After I had sent it back I was perusing the forums and I noticed you had the p5n-e in one of your systems. If they had sent me a replacement I would have PMed you for advice, but fortunately they didn't.

Actually you are both right... Slot 0 and Slot 2 (left side of each bank) are the same colour.  Same for Slot 1 and Slot 3 (Right side).  It's called interleaving and it's kinda required to get the full duplex of the RAM.

If you don't have DDR when using the right RAM in the right slots then, since you've verified the RAM as good with single mem-tests, the mobo is toast.
When using dual-channel RAM, which most likely he is, you are required to use either channel A, or channel B. Which happens to be one yellow, and one black. That is why he's getting errors.

Okay I am using the black slots and it is working.  How do I update the bios?????

I believe I am on 401.  I will have to double check later, but tomorrow I will be able to know.

Alright, an update  running both sticks in black slots seems to be a lot more stable.  Running them together in a memtest results in memory errors.  Running them individually I get zero errors.  I am going to update the bios tonight and if that does not fix the problems, I am going to return the board and go with this

Since Windows was somewhat stable I tried to load Bf2.  When I run it I got the Memory.dll sanity error and now Bf2 will not even come up.
I am slightly annoyed.

I had a bitch of a time getting 4x1GB sticks to work in a P5N-e SLI. It wouldn't even POST with all 4 sticks in. I tried upping the voltage and loosening the timings, but had to drop the frequency to 667 in the end to get it running properly. Not the first time I've had memory issues on Asus boards, the 3rd time in fact.

I browsed through the newegg.com reviews of this board and it seems to be all hit or miss.  I wish I would have paid more attention earlier.  All memory related.

What do I lose when I run @ 667 mhz vs the 800 mhz????
Do you know anything about the EVGA 680 board????

I have an EVGA 680i board. It's very nice, but has a few awkward faults. Poor board layout for one. The front panel connectors are laid out in a stupid way. Performance wise it seems great and I've managed some very impressive, very stable OCs on it.

I finally had time yesterday to head down to my local Fry's electronics store to pick out a replacement for the P5N-E that I sent back to newegg. I picked up the above board, went home and hooked it all up, and haven't had any issues at all. In fact, I didn't even have to install anything after initial boot-up. Apparently the software that was installed from the P5N-E is compatible with this board as well, which saved me a couple hours of reinstalling everything.

I'm running prime95 at the moment to verify system stability with my E6600 overclocked at a modest 3.0 ghz, and everything seems to be just peachy.

I finally got this board stable.  I had to mess with timing and all that.  But everything is loading and I finally was able to play bf2. 
I will give a while, have a couple of long sessions on BF2 and run some other test.  Then I might try to OC the proc a bit.
