This one is a 5400+ and it is 2.8 ghz

So why are they priced the same?

the first one is retail (original packaging) the other one is oem possibly without a cooler and packed in an ordinary box.

Well the first one doesnt come with a cooler either. So is it just the packaging? And does that mean i should go with the 2nd one?

Black Edition has an unlocked multiplier, that's the only real difference.
