I'm willing to spend no more than 250€ (329,30 USD) for a sound card. It needs to have an external rack so i can connect my headphones (it has to have big headphone plug). Optical is also a must. I don't need it for games! Only for music and occasionally movies. preffered brands= Emu, m-audio, Auzen, Esi.

Thanks for your help!

If you're predominantly going to be using optical audio out and not using it for gaming, why not use onboard sound? You can get just as good quality through software,  since you say you don't need it for games so CPU usage shouldn't be an issue, and you're not relying on the quality of a hardware DAC which would be the weakest point in onboard audio.

I don't have optical speakers atm. I might be buying them soon but for now i'll stay with z2300.

Buy them instead of a soundcard. You'll get much more benefit from that. The Z5300 are pretty cheap and have optical and coax digital in.

I've found this site http://kxproject.narod.ru/
They made custom Audigy drivers and people say only good stuff about it. Now i don't know which sound card sounds better, x-fi or audigy 2 zs. I still need a new sound card since i can't directly connect either of these 2 cards with digital speakers. It needs some kind of adapter?

Don't get anything made by Creative (X-Fi, Audigy) if you are running any form of Vista.
