that PSU is a bit of an overkill. Just get an good 600 watt PSU and get an better CPU-cooler.

yes it wins with cooling, but it's noisy. I always go for silent components of a PC, I even think my 25db PSU fan is noisy. It just depends on what the OP wants.

I've seen a lot of people have problems or generally dislike the GameXStream lineup. Perhaps look into the Thermaltake Toughpower.

Noisy? Well yeah, if you run it maxed all the time. That cooler can hold my 150TDP P4 at under 70 idle on lowest, which is dead silent.
The idea of any hi-fi system is to reproduce the source material as faithfully as possible, and to deliberately add distortion to everything you hear (due to amplifier deficiencies) because it sounds 'nice' is simply not high fidelity. If that is what you want to hear then there is no problem with that, but by adding so much additional material (by way of harmonics and intermodulation) you have a tailored sound system, not a hi-fi. - Rod Elliot, ESP

Personally I would look at the Abit ip35-pro motherboard, it'll save you a little and is a very nice board.  There's no reason to go x38 unless you need the xfire support.  also look into Corsair PSU's.  I have a very similar system with the hx 520 and it's more than enough, and once again will save you a little $$.

Thermaltake also makes a 650w, 700(I think), 750, 850 and then a bunch of higher ones.

I agree that the 750w is overkill but you won't have to buy a new PSU for a long time.
