New MB and CPU?

I'm upgrading my PC and need new MB and CPU and was thinking of buying these
MB: MSI 945P NEO3-F
CPU: INTEL PENTIUM D 820 2.8Hz/800MHz

So I want to know if they're any good and if there'll be any compatibility issues with my other stuff

Other stuff:
GPU: XFX GeForce 7600GT
RAM: 2x256MB and 2x512MB (all DDR2 533MHz)

(Current MB is MSI MS-7091 v.2 and CPU is P4 516 2.93GHz)

Already ordered so never mind any more, but I have still one question I have 350W PSU will that be enough?
